G3, Attachment 1
The Grant Funds shallbe used in furtheranceof the activities which are contained in Exhibit C,

Agreement. Habitat shall submit written reimbursement applications in a form reasonably

the State, is duly authorized to operate in the State, has the power to enter into
and execute this Agreement and the Declaration and by appropriate corporate
action has authorized the execution and delivery of this Agreement and the
Declaration.
b.This Agreement and the Declaration will not result in any breach of or constitute
a default under any mortgage, lease, loan, grant or credit agreement, corporate
charter, by-law or other instrument to which Habitat is a party or by which it may
be bound or affected.
c.This Agreement will constitute a legal and binding obligation enforceable
against Habitat as its interest appears.

Agreement and to discuss its affairs, finances, and account (as they relate to
receipt and expenditure of the Grant Funds or this Agreement) with the principal
officers of Habitat, all at such reasonable times and as often as the City may
reasonably request during the term of this Agreement and for a period of six (6)
years after the termination of this Agreement. Notwithstanding the foregoing, prior
to exercising its rights hereunder, the City shall provide Habitat with reasonable
advance notice of any such inspections and work in good faith with Habitat to
arrange for such inspections to occur in a manner that limits the financial and
operational impact to Habitat’s ongoing operations; provided, however, that the
City may exercise its rights hereunder without advance prior notice if the City has
a reasonable basis to believe that providing such notice may negatively impact
the City’s ability to access the necessary information. Pursuant to Minn. Stat. §
16C.05, subd. 5, the books, records, documents, and accounting procedures and

authorizations, or approvals necessary to perform or complete the Activities.
Habitat and its contractors, if any, must comply with all applicable licensing,
permitting, bonding, authorization, and approval requirements of federal, state,
and local governmental and regulatory agencies, including conservation districts.
n. Promptly pay and discharge all taxes, assessments, and other governmental
charges imposed upon it or upon its income and profits or upon the Property, and
any and all claims for labor, material or supplies or rental charges or charges of
any other kind which, if unpaid, might by law become a lien or charge upon the
Property, provided, however, that Habitat shall not be required to pay any such
tax, assessment, charge or claim, if Habitat is contesting the validity of such
matters, in good faith, through appropriate proceedings, and Habitat sets aside
on its books adequate reserves for the payment of such claims.
o. Establish and maintain accurate and complete accounts and records relating to
the receipt and expenditure of all Grant Funds received from the City.
Notwithstanding the expiration and termination provisions of this Agreement,
such accounts and records shall be kept and maintained by Habitat for a period
of six (6) years following the completion of the Activities or for six (6) years
following the expenditure of the Grant Funds, whichever occurs earlier.
Accounting methods shall be in accordance with generally accepted accounting

requirements of this Agreement.

7.EXPIRATION AND TERMINATION. This Agreement shall automatically expire upon
the satisfactory completion of all obligations hereunder (the “Expiration Date”). This
Agreement may be terminated by the City for cause at any time upon thirty (30) calendar
days’ written notice to Habitat. “For cause” shall mean a material breach of this Agreement
and any amendments to this Agreement. If this Agreement is terminated prior to the

the authority of the City to recover Grant Funds on the basis of a later audit or other review,
and does not alter Habitat’s obligation to return any Grant Funds due to the City as a result
of later audits or corrections. If the City determines that Habitat has failed to comply with the

WHEREAS, the City has received Local Affordable Housing Aid (“LAHA”) pursuant to
Minn. Stat. 477A.35 which the City is authorized to allocate for qualifying projects as further
identified in the statute; and
WHEREAS, the City desires to provide assistance to Habitat for financial support for the
qualified activities as provided under Minn. Stat. 477A.35, subd. 4(a)(3) and as further provided
in this Agreement ; and
WHEREAS, Habitat will complete the construction of three housing units for sale to
Qualified Homebuyers (the “Project”) on the property legally described on Exhibit A (the
“Property”); and
WHEREAS, in order to complete the Project, Habitat has requested that the City provide
financial assistance in the amount of $150,000 (the “Grant Funds”); and
WHEREAS, on April 13, 2026, the City approved the appropriation of $150,000 in LAHA
funding for completion of the Project; and
WHEREAS, in consideration for the Grant Funds, Habitat will execute and deliver to the
City a Declaration of Restrictive Covenants of even date herewith, the form of which is attached
hereto as Exhibit B (the “Declaration”), setting forth the affordability covenants for the Property;
and
ACCORDINGLY, to induce the City to provide the Grant Funds to Habitat, and for good
and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the
parties hereto agree as follows:
1.GRANT FUNDS; PROJECT SCOPE. Subject to and upon the terms and conditions of
this Agreement, the City agrees to disburse to Habitat the Grant Funds. The Grant Funds shall
be disbursed in accordance with Section 2 hereof.

G3, Attachment 2
The Grant Funds shall be used in furtherance of the activities which are contained in Exhibit C,
attached hereto (the “Project Scope”). Any use of Grant Funds on activities outside of the Project
Scope shall be considered ineligible costs and not subject to reimbursement by the City.
2. DISBURSMENTS. Grant Funds shall be disbursed by the City to Habitat solely on a
reimbursement basis for Eligible Costs incurred and paid by Habitat in accordance with this
Agreement. Habitat shall submit written reimbursement applications in a form reasonably
acceptable to the City, together with invoices, proof of payment, lien waivers, and such other
supporting documentation as the City may reasonably require to verify that the requested
amounts constitute eligible costs and satisfy the requirements of this Agreement and applicable law
(“Eligible Costs”). Reimbursement applications may be submitted no more frequently than once
per calendar month.
The City shall review each reimbursement application and may request additional information or
documentation reasonably necessary to determine eligibility. If the City determines that a portion of
the requested reimbursement is not eligible, unsupported, or otherwise not reimbursable under this
Agreement, the City may approve and reimburse the undisputed portion of the request and withhold
payment of the disputed portion pending receipt of additional information or resolution of the
deficiency. Subject to the City’s determination that requested costs are Eligible Costs, Habitat’s
compliance with this Agreement, and the availability of Grant Funds, the City shall reimburse
approved amounts within forty-five (45) days after receipt of a complete reimbursement application.
As a condition to final reimbursement, Habitat shall submit a final reimbursement application no
later than ninety (90) days following completion of the Project or expenditure of all Grant Funds,
whichever occurs first. The final reimbursement application shall include final invoices, evidence
of payment, final lien waivers from applicable contractors and subcontractors, evidence of
completion, any required certifications or releases, and such other customary closeout
documentation as the City may reasonably request to confirm completion of the Project and
proper use of Grant Funds. Any reimbursement request not submitted within such period shall be
deemed waived unless extended in writing by the City.
3. REPRESENTATIONS AND WARRANTIES. Habitat shall be responsible for satisfying all
applicable obligations under this Agreement. Specifically and without limiting the foregoing, Habitat
hereby covenants and agrees that:
a. Habitat is a Minnesota non-profit corporation duly organized under the laws of
the State, is duly authorized to operate in the State, has the power to enter into
and execute this Agreement and the Declaration and by appropriate corporate
action has authorized the execution and delivery of this Agreement and the
Declaration.
b. This Agreement and the Declaration will not result in any breach of or constitute
a default under any mortgage, lease, loan, grant or credit agreement, corporate
charter, by-law or other instrument to which Habitat is a party or by which it may
be bound or affected.
c. This Agreement will constitute a legal and binding obligation enforceable
against Habitat as its interest appears.

d.Habitat has obtained or will obtain all necessary licenses and permits required
for performance of its obligations under this Agreement.
e. Habitat will not create, permit to be created, or allow to exist any liens, charges,
or encumbrances on the Property, except as otherwise authorized in writing by
the City.
Habitat further represents and warrants that it shall:
f. Perform all of the Activities on the Property as set forth in the Project Scope.
g. Take all other actions as are needed to ensure compliance with this Agreement,
Minn. Stat. §477A.35, and all other applicable laws, rules, ordinances, and
regulations, and provide such information and assistance to the City to ensure
the City can comply with its requirements related to the use of LAHA funding.
h. Purchase and maintain such insurance, or cause its contractors and/or affiliates
to purchase and maintain such insurance, as will protect it from claims which may
arise out of, or result from, the Activities contemplated hereunder, whether such
operations be by Habitat or by any subcontractor, or by anyone directly employed
by them, or by anyone for whose acts any one of them may be liable.
i. Ensure that the sale of the Property is in accordance with this Agreement and
Minn. Stat. §477A.35.
j. In order to permit the City to monitor compliance with this Agreement and state
law, permit any person that the City designates, at the expense of Habitat, to visit
and inspect the Property, corporate books and financial records and documents
of Habitat as relevant to receipt and expenditure of the Grant Funds or this
Agreement and to discuss its affairs, finances, and account (as they relate to
receipt and expenditure of the Grant Funds or this Agreement) with the principal
officers of Habitat, all at such reasonable times and as often as the City may
reasonably request during the term of this Agreement and for a period of six (6)
years after the termination of this Agreement.
5, the books, records, documents, and accounting procedures and
practices of Habitat that are relevant to this Agreement are subject to examination
by the City and either the Legislative Auditor or the State Auditor, as appropriate,
for a minimum of six (6) years.
k. Be responsible for all costs associated with the administration of the project and
completion of the Activities.
l. Include in any contract or subcontract for the Activities appropriate provisions to
ensure contractor or subcontractor compliance with all applicable state and

federal laws and this Agreement. Along with such provisions, Habitat shall require
that contractors and subcontractors performing Activities covered by this
Agreement obtain all required permits, licenses, and certifications, and comply
with all applicable state and federal Occupational Safety and Health Act
regulations.
m. Carry out the Activities to meet all applicable local codes, rehabilitation standards,
ordinances, and zoning regulations. The City assumes no responsibility for
obtaining any applicable local, state, or federal licenses, permits, bonds,
authorizations, or approvals necessary to perform or complete the Activities.
Accounting methods shall be in accordance with generally accepted accounting
principles.
p. Upon written request, provide the City with all information that is needed by the
City to submit the required written progress reports and other written reports
required by Minn. Stat. § 477A.35.
q. Not discriminate against any employee or applicant for employment because of
race, color, creed, religion, national origin, sex, marital status, status with regard
to public assistance, membership or activity in a local civil rights commission,
disability, sexual orientation or age and take affirmative action to ensure
applicants and employees are treated equally with respect to all aspects of
employment, rates of pay and other forms of compensation, and selection for
training.
4. HABITAT COVENANTS. Habitat covenants and agrees that for the term of this Agreement,
it will not:
a. Merge or consolidate with or into any other entity without prior written approval of
the City; provided, however that in the event that the City provides such approval
then Habitat shall ensure that the terms of this Agreement as properly assigned
to such new entity as provided herein..

or obligations as the same mature, subject to the applicable cure periods set forth
in such a contract.
c. Generate, dispose of, use, store, treat, or transport hazardous waste substances
on, in, over or across the Property or allow Habitat’s tenants to do so; provided,
however, that Habitat may treat or remediate hazardous substances pursuant to
an MPCA-approved Development Response Action Plan and that Habitat and its
successors in interest may use, store, and transport hazardous substances on,
over or across the Property as is reasonably necessary to the use of the Property
as residential property provided such use, storage, and transportation complies
at all times with all applicable federal, state, and local statutes, codes, regulations,
and ordinances.
d. Hold, market, encumber, or transfer the Property (or any subdivided parcel
thereof) for any Speculative Purpose and shall not consummate any Prohibited
Transfer. Any attempted Prohibited Transfer shall be void.
i. Defined terms:
1. “Permitted Transfer” means any transfer, assignment,
conveyance, or encumbrance of the Property (or any subdivided parcel
thereof) including (i) conveyance to a Qualified Homebuyer in accordance
with the Guidelines, (ii) a mortgage or deed of trust in favor of a Permitted
Lender for the sole purpose of financing acquisition and/or construction
consistent with this Agreement, or (iii) a transfer to an affiliated community
land trust entity approved by the City.
2. “Prohibited Transfer” means any transfer, option, assignment,
conveyance, encumbrance, long-term ground lease (exceeding 1 year), or
other disposition of any interest in the Property (or any subdivided parcel
thereof) that is not a Permitted Transfer, including any transfer for speculative
purposes, any transfer to an entity or person not approved in writing by the
City, and any transfer that would, in the City’s sole judgment, frustrate or
impair the affordability covenants or the construction and disposition
requirements of this Agreement.
3. “Speculative Purpose” means acquiring, holding, marketing,
or transferring the Property (or any subdivided parcel thereof) primarily to
capture appreciation or resale profit unrelated to construction and sale to
Qualified Homebuyers as contemplated herein.
5. REPORTING. Habitat shall provide appropriate records to the City regarding the recipients
and the disbursement of Grant Funds to verify compliance with this Agreement. Prior to receiving
the final disbursement of Grant Funds, Habitat shall prepare and submit to the City, at its own
expense, a report including:

qualified to receive funding under Minn. Stat. § 477A.35, subd. 4(a)(3);

477A.35. Habitat shall reimburse the City the full amount of any Grant Funds for which
Habitat is unable to provide satisfactory accounting. The City reserves the right to withhold
future reimbursements of Grant Funds in order to reimburse any ineligible costs which have
previously been reimbursed.
7. EXPIRATION AND TERMINATION. This Agreement shall automatically expire
upon the satisfactory completion of all obligations hereunder (the “Expiration Date”). This
Agreement may be terminated by the City for cause at any time upon thirty (30) calendar
days’ written notice to Habitat. “For cause” shall mean a material breach of this Agreement
and any amendments to this Agreement. If this Agreement is terminated prior to the
Expiration Date, Habitat shall receive payment on a pro rata basis for Eligible Activities that
have been completed prior to the termination. Termination of this Agreement does not alter
the authority of the City to recover Grant Funds on the basis of a later audit or other review,
and does not alter Habitat’s obligation to return any Grant Funds due to the City as a result
of later audits or corrections. If the City determines that Habitat has failed to comply with the
terms and conditions of this Agreement, the Program Guide, or Minn. Stat. § 477A.35, the
City may take any action to protect the interests of the City and may refuse to disburse
additional Grant Funds and may require Habitat to return all or part of the Grant Funds
already disbursed.

covenant or condition required to be performed or observed by Habitat

default reasonably requires more than thirty (30) days to cure, such
default shall not constitute an Event of Default, provided that the curing
of the default is promptly commenced upon receipt by Habitat of the
notice of the default, and with due diligence is thereafter continuously
prosecuted to completion and is completed within a reasonable period of

be incurred by the City in enforcement of Habitat’s agreements to
indemnify and/or to obtain and keep in force the agreed-upon insurance
coverage;

is not relinquished, vacated, or stayed within thirty (30) days of the
appointment.
9. CITY’S REMEDIES UPON HABITAT’S DEFAULT. Upon an Event of Default by
Habitat and after provision by the City of written notice thereof, the City shall have
the right to exercise any or all of the following remedies (and any other rights and
remedies available to it):
a. declare the amount of the Grant Funds to be immediately due and
payable;
b. suspend its performance under this Agreement;
c. take whatever action at law or in equity may appear necessary or
appropriate to enforce performance and observance of any obligation,

d. No remedy conferred upon or reserved to the City is intended to be
exclusive of any other available remedy or remedies, but each and every

upon any Event of Default impairs any such right or power, nor
constitutes a waiver thereof, but any such right and power may be
exercised from time to time and as often as may be deemed expedient.
In order to entitle the City to exercise any remedy reserved to it in this
Article, it is not necessary to give any notice, other than such notice as
may be herein expressly required or be required by law.
10. CITY’S COSTS OF ENFORCEMENT OF AGREEMENT. If an Event of Default has
occurred as provided herein, then upon demand by the City, Habitat shall
pay or reimburse the City for all expenses, including all attorneys’ fees and
expenses incurred by the City in connection with the enforcement of this
Agreement and the Declaration, or in connection with the protection or
enforcement of the interests of the City in any litigation, bankruptcy or
insolvency proceeding or in any action or proceeding relating in any way to
the transactions contemplated by this Agreement.
11. MISCELLANEOUS.
a. Warranty. Habitat warrants that it is duly authorized and empowered to
execute, deliver, and perform this Agreement and to receive the Grant Funds from
the City, and that the performance by Habitat of its obligations under this Agreement
does not and will not materially violate or conflict with any applicable provision of
state or federal law and does not and will not materially violate or conflict with, or
cause any default or event of default to occur under, any material agreement binding
upon Habitat.
b. Notice. All notices to be given by either party to the other hereunder shall be
in writing and deemed to have been given when delivered personally or when

executed Assignment Agreement, executed and approved by the same parties who
executed and approved this Agreement, or their successors in office.

not be effective until it has been executed and approved by the same parties who
executed and approved the original Agreement, or their successors in office.
e. Waiver. The performance or observance of any promise or condition set forth
in this Agreement may be waived, amended, or modified only by a writing signed by

agents from and against all claims, damages, losses and expenses, including but
not limited to attorneys’ fees, arising out of or resulting from the conduct or
implementation of the Activities funded by this Agreement, except to the extent the
claims, damages, losses, and expenses arise from the negligence of the City. Claims
included in this indemnification include without limitation any claims asserted
pursuant to the Minnesota Environmental Response and Liability Act, Minn. Stat.,
Chap. 115B (MERLA), as amended, the Comprehensive Environmental Response
Compensation, and Liability Act, 42 U.S.C. §§ 9601 et seq. (CERCLA), and the
Federal Resource Conservation and Recovery Act of 1976, as amended, 42 U.S.C.
§§ 6901 et seq. (RCRA). This obligation shall not be construed to negate, abridge,
or otherwise reduce any other right or obligation of indemnity which otherwise would
survive the expiration or termination of this Agreement. This indemnification shall not
be construed as a waiver on the part of the City of any immunities or limits on liability
provided by Minnesota Statutes Chapter 466 or other applicable state or federal law.
h. No Joint Venture. Nothing in this Agreement is intended nor should be
construed as creating or establishing the relationship of a partnership or a joint
venture between the parties or as constituting Habitat as the agent, representative,
or employee of the City for any purpose. Issuance of this grant neither implies City
responsibility for the condition of the Property nor imposes any obligation on the
City to participate in any Activities on the Property. By awarding the Grant Funds,
the City assumes no responsibility for (a) any damage to persons, property, or the
environment caused by implementation of the Activities; or (b) determining whether
the intended uses of the Property identified in the Project Scope or potential future
uses of the Property, including any residential uses, are suitable for the Property.
i. Government Data Practices. Habitat must comply with Minnesota
Government Data Practices Act, Minn. Stat. Ch. 13, as it applies to all data provided
by the City under the Agreement, and as it applies to all data created, collected,
received, stored, used, maintained, or disseminated by Habitat under this
Agreement. The civil remedies of Minn. Stat. § 13.08 apply to the release of the data
referred to in this clause by either the City or Habitat. If Habitat receives a request

requesting party before the data is released.

to its choice-of-law provisions, governs this Agreement. Venue for all legal
proceedings relating to or arising from this Agreement, or its breach, must be in the
appropriate state or federal court with competent jurisdiction in Ramsey County,
Minnesota.
k. Entire Agreement. This Agreement constitutes the complete and exclusive
statement of all mutual understandings between the parties with respect to this
Agreement, superseding all prior or contemporaneous proposals, communications,
and understandings, whether oral or written, concerning the grant.
l. Headings. The headings appearing at the beginning of the several sections
contained in this Agreement have been inserted for identification and reference
purposes only and shall not be used in the construction and interpretation of this
Agreement.
m. Survival of Warranties. All agreements, representations and warranties
made in this Agreement by Habitat shall survive its termination.
n. Counterparts. This Agreement may be executed in any number of
counterparts, all of which shall constitute a single agreement, any one of which
bearing signatures of all parties shall be deemed an original.
o. Electronic Signature. An electronic signature is as effective as an original
signature. Each party hereby waives its right to challenge the validity of this
Agreement based in whole or in part on the use of electronic signatures.
p. Habitat’s Limited Remedy. If Habitat claims that City has failed to perform
any of its obligations under this Agreement, Habitat agrees to provide thirty (30) days

m. “Sale Notice” shall have the meaning assigned to such term in Section 3.a. of this
Declaration.
2. Runs with the Land. Declarant intends, declares, and covenants that the covenants set
forth herein governing the use, occupancy, and transfer of the Property shall be and are
covenants running with the Property for the term stated herein and binding upon all
subsequent owners of the Property for such term, and are not merely personal covenants
of Declarant.

3.Purchase Option. In the event Declarantintends to sell or convey theProperty or any
portion thereof (a “Sale”) during the term of the Declaration, Declarant irrevocably grants
to Habitat the option to purchase the Property for an amount equal to the Option Purchase
Price in accordance with the terms and conditions of this section (the “Purchase Option”).
a. If Declarant desires to undertake a Sale of the Property, Declarant shall provide
written notice to Habitat (“Sale Notice”) at least thirty (30) days before any of the
following events: (i) listing the Property for sale; (ii) making a formal offer to sell the
Property to a third party; or (iii) accepting an offer from a third party seeking to
purchase the Property. The Sale Notice shall describe the portion of the Property
that will be impacted by such proposed Sale, the desired closing date, and any
other relevant terms of the desired Sale of the Property reasonably required by
Habitat.
b. If Habitat desires to exercise the Purchase Option, Habitat shall notify Declarant in
writing of its intention to exercise the Purchase Option to purchase all of the
Property within thirty (30) days after Habitat receives the Sale Notice from
Declarant (the “Election Notice”).
c. Within ten (10) business days after the date of the Election Notice, Habitat shall
engage an appraiser to determine the current fair market value of the Property (the
“Property Fair Market Value”). The cost of the appraisal in connection with the first
Sale Notice delivered by Declarant shall be split equally between Habitat and
Declarant and shall be paid at closing. Any additional appraisals that become
necessary in connection with any subsequent Sale Notice shall be paid for solely
by Declarant at the time the appraisal is ordered. Promptly after Habitat’s receipt
of any appraisal that has accurately determined the Property Fair Market Value in
Habitat’s reasonable opinion, Habitat will determine the Option Purchase Price and
provide such calculation to Declarant. Notwithstanding anything to the contrary
herein, Habitat may retract its Election Notice at any time prior to the execution of
a Purchase Agreement (as defined below).
d. Within thirty (30) days after the Option Purchase Price has been determined,
Declarant and Habitat shall negotiate in good faith and enter into a purchase
agreement (a “Purchase Agreement”) for the Property, which Purchase Agreement
shall include the following terms: (i) Declarant shall sell the Property to Habitat for
an amount equal to the Option Purchase Price, (ii) a closing date for the Sale of
the Property to Habitat that is not later than six (6) months after the date of the
Sale Notice, (iii) Habitat shall have a right to terminate the Purchase Agreement
without penalty after completing its due diligence review, (iv) customary prorations
and sharing of closing costs between Habitat and Declarant, and (v) other
reasonable closing terms that are customary for similar transactions. Habitat shall
be responsible for the costs of drafting the Purchase Agreement.
e. If Habitat does not elect to exercise the Purchase Option, Declarant may only sell
the Property under terms consistent with the Sale Notice to a buyer that meets the
following criteria: (i) verified annual gross income that is at or below \[___%\] area
median income, adjusted for family size, as determined by the United States
Department of Housing and Urban Development, and (ii) such buyer intends to
use the Property as such buyer’s primary residence (a “Qualified Buyer”).
Declarant shall cause such buyer to provide reasonable documentation and/or

certifications to Habitat to confirm that the buyer meets the criteria to be a Qualified
Buyer. Upon the closing of such Sale of the Property to a Qualified Buyer,
Declarant shall (i) repay any and all sums due under any outstanding Loans, and
(ii) any Equity Sharing Fee that is due and payable to Habitat.
f. Notwithstanding anything to the contrary herein, during the term of this Declaration,
the Purchase Option shall remain in place for all future proposed Sales of the
Property regardless of whether Habitat has previously exercised or not exercised
the Purchase Option in connection with any prior Sale.
g. Any Sale of the Property not made in compliance with the requirements of this
Declaration shall be null and void.
4. Equity Sharing Fee. Declarant acknowledges and agrees that in furtherance of Habitat’s
mission, Declarant is required to preserve a portion of any future appreciation in value of
the Property to ensure that the Property will remain affordable to potential low- and
moderate-income homebuyers in need of assistance from Habitat following any Sale of
the Property. In order to accomplish such requirement, Declarant agrees to pay any Equity
Sharing Fee required under the terms and conditions set forth on Exhibit B hereto.
Notwithstanding anything to the contrary herein, during the term of this Declaration,
Declarant and any successors and assigns of Declarant shall be required to pay the Equity
Sharing Fee in connection with any and all future proposed Sales of the Property
regardless of whether the Equity Sharing Fee was previously paid in connection with a
prior Sale.
5. Term. This Declaration shall remain in full force and effect for a term of thirty (30) years
from the date hereof. Declarant declares, represents, covenants, and agrees for Declarant
and Declarant’s successors and assigns that the agreements set forth herein for the
entirety of the foregoing term are independent of the existence of any Loan and that the
provisions of this Declaration will survive (i) the termination or extinguishment of any Loan
and/or Loan Documents executed in connection with any such Loan, (ii) the termination
of any financing or security instruments placed of record by other lenders, and (iii) any
Sale of the Property.
6. Reasonable Terms. Declarant agrees that this Declaration constitutes a reasonable
burden on the Property in light of the financial benefits and other consideration given to
Declarant by Habitat, which benefits include, but are not limited to, the Habitat Assistance.
7. Remedies. Habitat, or its successors and assigns, may initiate and prosecute any
proceedings at law or in equity to abate, prevent, or enjoin any violation, or to specifically
enforce the terms and conditions of this Declaration, or to recover damages caused by
such violation or attempted violation. No delay in enforcing the provisions of this Section
will waive Habitat’s right to enforce that violation at any later time. Declarant shall be
responsible for any and all reasonable attorneys’ fee or other expenses incurred by Habitat
under any action pursued by Habitat under this section.
8. Further Assurances. At any time and from time to time, upon request by Habitat, Declarant
will make, execute and deliver or cause to be made, executed and delivered, to Habitat,
any and all other amendments to this Declaration, further instruments, certificates, and
other documents as may, in the reasonable opinion of Habitat, be necessary or desirable
in order to effectuate, complete, clarify, further describe, correct, or to continue and

Declarant to do so, Habitat may make, execute, and record any and all such amendments,
instruments, certificates, and documents for and in the name of Declarant and Declarant
hereby irrevocably appoints Habitat as its agent and attorney in fact of Declarant so to do.
9. Successors and Assigns. The covenants and agreements contained herein shall bind, and
the rights hereunder shall inure to, the respective successors and assigns of Declarant
and Habitat.
10. Severability. The invalidity or unenforceability of any provision hereof shall in no way affect
the validity or enforceability of any other provision.
11. Amendment. Except as otherwise set forth in this Declaration, the provisions of this
Declaration may not be amended during the term of this Declaration except by an
instrument in writing executed by Declarant and Habitat, or their respective successors or
assigns.

Equity Sharing Fee
For good and valuable consideration, including, but not limited to, the Habitat Assistance,
Declarant agrees to pay the Equity Sharing Fee (as defined below) to Habitat upon the closing of
any Sale of the Property to any party, including Habitat following its exercise of the Purchase
Option, during the term of this Declaration as follows:
a. For purposes of this Declaration, the term “Equity Sharing Fee” means an amount
equal to seventy-five percent (75%) of the difference between (i) the current
Property Fair Market Value, less (ii) the original purchase price for the Property
paid by Declarant, plus the aggregate amount of capital improvements made to
the Property during the time Declarant has owned the Property, as determined by
Habitat in accordance with its Capital Improvements Credit Policy in effect at the
time the Equity Sharing Fee is calculated. Declarant acknowledges and agrees
that such Capital Improvements Credit Policy may be modified from time to time
by Habitat in its sole discretion.
b. Declarant shall provide Habitat with written notice of any proposed Sale at least
sixty (60) days prior to the anticipated closing of such Sale. Such notice shall
include the expected purchase price, the anticipated closing date of such Sale,
evidence that the proposed buyer is a Qualified Buyer, and the name and contact
information for the title company assisting with the Sale. Within sixty (60) days of
its receipt of such notice, Habitat will provide Declarant with an estimated Equity
Sharing Fee due and payable to Habitat, if any.
c. Any Equity Sharing Fee owed to Habitat shall be payable either (i) in cash directly
to Habitat from the title company assisting with such closing, or (ii) Habitat shall
have the option to instead receive a deemed payment of the Equity Sharing Fee
in the form of reduction of the purchase price due from the buyer to Declarant at
the closing of the Sale.

AGENDA ITEM: Maplewood Community Center (MCC) Î Built-In Gutter and Downspout
Replacement Contract
Action Requested: Motion Discussion Public Hearing
Form of Action: Resolution Ordinance Contract/Agreement Proclamation
Summary:
The city council is asked to approve a contract with Lake Area Roofing and Construction, Inc
(LARC) for built-in gutter and downspout replacement and related roof cap sheet tie-in work at the
Maplewood Community Center (MCC) building, in the amount of $86,911. The city solicited
competitive proposals and received three; staff recommend LARC based on their experience,
qualifications, and prior work on similar municipal and medium-sized commercial buildings,
including roof and gutter work previously completed at the city hall campus.
Recommended Action:
Motion to approve a contract with Lake Area Roofing and Construction, Inc (LARC) in the amount of
$86,911 for built-in gutter and downspout replacement and related roof tie-in work at the
Maplewood Community Center (MCC) building, and to authorize the mayor and city manager to
execute the agreement.

Strategic Plan Relevance:

Sustainability Focus Area: Maintain strong financial health and stability
Development Focus Area:
This contract protects the MCC building envelope from water infiltration and structural damage
while maintaining the long-term value of a city-owned asset.
Council Packet Page Number 106 of 146
G5
Background:
Project Scope
The scope of work includes installation of new built-in gutters, downspouts, and roof cap sheet tie-
ins at the MCC building, addressing both the gym barrel roof and the west side/entrance canopy
areas of the building. Work includes:
Built-in galvanized steel gutters over the gym barrel roof, fully soldered for a monolithic
gutter, tied into the existing BUR cap sheet roofing with a redundant elastomeric coating at
all tie-in points;
Three new downspouts on the east side of the building, aligned with existing sewer drains,
with the northernmost downspout draining to the parking lot sewer tie-in;
Two new conductor heads and downspouts at the overflow scuppers on the west end of the
barrel roof, directing water at least five feet away from the building;
A new gutter and downspout at the north entrance canopy by the loading dock, extending
water flow away from the building.
The proposal includes all labor, materials, hoisting, lifts, safety, and insurance. All work will be
performed by LARCÓs own employees, with no subcontracting, and LARC will provide a five-year
contractor warranty on the completed work.
Proposal Process
The city solicited proposals for this work and received a couple responses, including one at a lower
cost of roughly $16,000, but without a competitive warranty. Given the history of flooding on the
MCC gym floor, staff felt having a five-year warranty was critically important. Staff recommend
awarding the contract to LARC based on their overall experience and qualifications, the value and
warranty terms of their proposal, and their prior work within the City of Maplewood, including roof
and gutter work previously completed at the city hall campus.
Contractor Experience
In addition to the city hall campus roof and gutter work, LARC has completed roofing work on other
City of Maplewood buildings, including the police department addition (both flat roofing and metal
standing seam roofing). LARC also has significant experience with municipal and medium-sized
commercial roofing projects more broadly, including work on Aldi grocery stores throughout the
Midwest, The Myth, a park and ride facility, Northern Tool, and McGoughÓs corporate headquarters,
among numerous other projects completed over the years.
Schedule and Site Considerations
LARC is prepared to begin work as outlined once a signed contract is in place. Materials require
approximately two weeks of lead time; once received, LARC can begin work immediately. During
construction, a portion of the east side of the building will need to be blocked off to provide the
contractor access to the work area. Staff will coordinate scheduling and site logistics with LARC and
building users once the contract is signed.

a. Assessment Hearing, 7:00 p.m.
b. Resolution Adopting Assessment Roll
Action Requested: Motion Discussion Public Hearing
Form of Action: Resolution Ordinance Contract/Agreement Proclamation
Summary:
The city uses assessments, in accordance with its Special Assessment Policy and state statutes, to
finance a portion of street improvement projects. Special assessments are a charge imposed on
properties for a particular improvement that benefits those properties. The assessment hearing is
an opportunity for benefiting property owners to address the city council about the proposed
assessment.
Recommended Action:
a. Hold an assessment hearing and receive any objections for the 2026 Maplewood Street
Improvements, City Project 25-21.
b. Motion to approve the resolution Adopting Assessment Roll for the 2026 Maplewood
Street Improvements, City Project 25-21.
Fiscal Impact:
Is There a Fiscal Impact? No Yes, the true or estimated cost is $1,867,365 (Total
Assessment Amount)
Financing source(s): Adopted Budget Budget Modification New Revenue Source
Use of Reserves Other: The overall project cost is estimated at
$11,786,700. Based on the pending assessment roll, the total amount of assessments for the 2026
Maplewood Street Improvements is $1,867,365.
Strategic Plan Relevance:
Safety Maintain and enhance infrastructure and environmental systems
Sustainability Maintain strong financial health and stability
Development
These street and utility improvements continue the city’s investment in improving the condition of
the municipal infrastructure throughout the city.
Council Packet Page Number 113 of 146
H1
Background:
Special assessments are one source of funding for the city’s infrastructure projects. The
assessment hearing gives property owners an opportunity to speak to the city council regarding the
pending assessment of their property.
The project area includes 371 assessable residential and commercial properties. The city hired an
independent appraisal firm to provide an opinion of special benefit received by properties within the
project area. The appraisal report confirmed that the proposed assessments in the attached
pending assessment roll exhibit are reasonable and that these properties benefit from the project in
an amount that is at least as much as the proposed assessment.
After receiving the appraisal results, the city mailed each property owner notice of their proposed
assessment amount. An informational meeting was then held on September 16, 2026, to answer
property owners' questions about the assessments and the process.
As of September 18, 2026, staff have received no objections to the proposed assessments. Written
objections will be received before, or in person during the assessment hearing on September 28,
2026. Once the assessment hearing is closed, no further objections will be considered, and staff will
proceed with a recommendation to council on objections received.
Budget Information
The contract was awarded to Park Construction Company by the city council on May 11, 2026. The
total construction contract cost is $10,178,819.95. See the table below for the project funding plan,
including allowances for indirect costs and contingencies.
Funding SourceTotal Amount
General Obligation (G.O.) Improvement Bonds $4,897,085
Street Revitalization Fund $1,364,250
Environmental Utility Fund $2,292,000
Sanitary Sewer Fund $463,100
Water Area Fund $152,400
St. Paul Regional Water Services (SPRWS) $671,300
Special Benefit Assessments (Preliminary Roll) $1,946,565
Total Project Funding: $11,786,700
The assessment amounts shown in the attached pending assessment roll exhibit are based on the
appraisal report completed by an independent appraiser. Based on the appraisal report, the total
assessment amount is $1,867,365. This amount is $79,200 lower than the preliminary amount of
$1,946,565. The change in amounts is attributed mainly to a reduction of assessment amounts for
some commercial and church properties within the project area, as recommended by the appraisal
report. It is anticipated that this reduction in assessment funding will be covered by the project’s
10% contingencies, which is already built into the funding plan above.
The finance director has reviewed the project costs and current funding plan. A final budget
adjustment will be made based on final construction costs after construction is completed. No
budget adjustment is currently recommended.

Summary:
At the September 14, 2026, meeting, the city council discussed proposed amendments to the city’s
ordinance regulating the number of cats that are permitted to be kept in a residential dwelling unit.
Based on the feedback received at this meeting staff has included a revised ordinance with this
report. This topic originally came up at the August 10, 2026, city council meeting, with members of a
homeowner’s association attending and raising concerns about the existing ordinance limitations.

Adoption of this ordinance amendment aligns the city’s cat and dog regulations with those of
comparable metro-area cities and supports clear and consistent code enforcement.
Background:
Maplewood’s ordinance currently limits the number of dogs and cats per dwelling based on the
zoning and the age of the animal. There are no federal or state regulations that address these types
of limitations.

R-1, single-family zoning – no more than three dogs over six months of age and two cats
over three months of age per dwelling unit.
R-2, double-dwelling zoning – no more than two dogs over six months of age and two cats
over three months of age per dwelling unit.
R-3, multiple-family zoning – no more than one dog over six months of age and one cat of
any age per dwelling unit.
At the September 14, 2026, city council meeting, staff presented a proposed amended ordinance
developed after researching animal ordinances in neighboring metro cities to determine best
practices in this area. During its review, the city council did not feel comfortable moving forward with
the amendments as proposed.
Using the feedback gathered at the last city council meeting, staff has revised the proposed
amendments to the ordinance that regulates the number of dogs and cats kept in a residential
dwelling unit. The attached ordinance amends Chapter 10, Animals. In these revisions, dwelling
units will have the following regulations:
R-1, single-family zoning – no more than three dogs over six months of age and three cats
over six months of age per dwelling unit.
R-2, double-dwelling zoning – no more than two dogs over six months of age and two cats
over six months of age per dwelling unit.
R-3, multiple-family zoning – no more than two dogs over six months of age and two cats
over six months of age per dwelling unit.
The amendment also updates the definitions of “dog” and “cat” in Sections 10-61 and 10-246 to
reference the species Canis familiaris and Felis catus, respectively, in place of the current, more
general definitions, providing greater legal precision for enforcement purposes.
Staff recommends this amendment to increase consistency between the city’s dog and cat
regulations, align the age threshold for cats with the existing threshold for dogs, and provide
additional flexibility for residents in multiple-family zones by raising the R-3 limit to match the R-2
limit. The city’s tiered, zoning-based approach to animal limits is preserved. The amendment also
allows homeowners’ associations and property managers to set limits below the city’s maximum if
they choose.

________________________________
Dear Maplewood City Council members,
I am writing on behalf of the Maple Hills Homeowners Association to request that the City
of Maplewood review and update its current pet ordinances so they more closely align with
those of surrounding communities.
allowing 3 dogs and 2 cats in
single-family homes (R-1), 2 dogs and 2 cats in duplexes (R-2), and 1 dog and 1 cat in
multiunit housing (R-3). These restrictions are more stringent than those in neighboring
cities and have on occasion in our neighborhood resulted in the loss of a home sale as we
are zoned R-3. Maple Hills consists of 100 townhome units across 12 buildings off Parkway
Drive near Larpenteur Avenue and Highway 61.
After reviewing ordinances from cities across the area, a clear regional pattern emerges:
most cities allow three dogs or cats in any housing type, without differentiating between
single-family, duplex, or multiunit residences.
Examples include:
3 domestic pets (Vadnais Heights limits
to 2 dogs)
3 dogs and/or cats
3 dogs, 3 cats, or 2 dogs and 2 cats
3 dogs and 3 cats
3 dogs and 4 cats
2 dogs and 4 cats
No numerical limit; instead uses a nuisance standard
2 dogs, with the ability to have 3 or 4 with 75% neighbor consent; no cat limit
2 dogs and no cat limit, and currently reviewing its ordinance to
modernize it
particularly in its stricter limits on multiunit residences and its lower overall allowances

-neutral structure
We would like the City to please consider adopting more flexible, modernized ordinances. I
have attached updated examples of the dog and cat ordinances for submission, rewritten
for simplification and alignment with other local communities.
to support a welcoming and equitable community for all residents, including those with
pets.
Sincerely,
Tom Schmidt, Treasurer
Maple Hills Homeowners Association
