Introduction
Staff has received direction from the City Council to review the concept of a single food
and beverage provider at the Maplewood Community Center. Since June of 1997, we
have had a contract with Suzanne's Cuisine to be the sole food and beverage provider.
Stated in the contact under Term, page 7, it is stated the "The term of this Agreement
shall be for one year commencing June 1, 1997 and shall be renewed annually for a
one year period." If the City does not act and give notice before May 1 of each fiscal
year, the contract shall be automatically extended for another year commencing June 1
and from year to year thereafter, under its existing terms, unless and until the City gives
notice of non - extension."
Background
The Maplewood Community Center opened in October 1994. At that time we dealt with
several different caterers and we offered two options for alcohol service:
Option One was Open Bar - Option Two was Cash Bar.
At that time we experienced several additional problems. Food quality was a major
concern at many of the events due to all the different caterer's serving at the MCC. We
also had several individuals that would like to have an open bar for part of their event
and charge for alcohol for part of their event were unable to do so under the existing
policy causing potential renters to go elsewhere. We also had problems with renters,
when assuming responsibility for all the alcohol served at their event, to provide the
MCC with adequate insurance riders. Monitoring for certified bartenders was another
problem, as there is no licensing or certifications issued to them.
In November 1996 at a council /manager workshop, direction was given to review the
concept of soliciting R.F.P.s for a single food and beverage provider. The City Council
directed staff by consensus that we should proceed with issuing requests for proposals
and return with a recommendation.
In 1997 four firms were interviewed: Suzanne's Cuisine, Kraemer Brothers, Perfect
Host and Professional Catering Service. After second interviews and background
checks, it was the unanimous recommendation of the interview panel that Suzanne's
Cuisine be retained as the sole food and beverage provider for the Maplewood
Community Center effective June 1, 1997. Suzanne's Cuisine is the sole food and
beverage provider today.

Discussion
The benifits of a sole food and beverage provider has '

arrangements. The City of Maplewood reserves the room and then provides p customers
with all necessary information from Suzanne's Cuisine. Food ualit has been e

and there have been no issues with alcohol or bartender's.
Under the current agreement with Suzanne's Cuisine the Cit of Maplewood receives
10% of the dollar amount per plate as a result of the event and 25% of al '

Recommendation
It is the staffs recommendation that the City of Maplewood remain with a single provider
for food and beverage service at the Maplewood Community Center. We feel that by
having a single food and beverage provider as part of the banquet room operation that
quality of service has improved immensely and increased revenue for the Community
Center. We will be writting new specifications and going out for new bid quotes in 2002.

AGREEMENT FOR FOOD AND BEVERAGE
THIS AGREEMENT, made and entered into this 27th day of May, 1997; by and between City
of Maplewood, a political subdivision, (hereinafter referred to as "City") and Suzanne's Cuisine Inc. ,
a Minnesota corporation, located at 4701 Clark Avenue, White Bear Lake, Minnesota 55110
(hereinafter referred to as "SCI ") .
RECITALS
1. SCI represents that they are a Minnesota corporation in good standing with the State
of Minnesota and its agents, representatives and employees have the necessary education, training,
experience, certification, and licensing for purposes of servicing and performing the food and
beverage agreement with the City.
20 The City is a political subdivision forum pursuant to Minnesota Statutes.
3. The City desires to have the following services performed by SCI:
(a) SCI agrees to provide selection of menus and prices for events held at the
Maplewood Community Center that require food and beverage;
(b) SCI agrees to provide a selection of foods, including hot or cold entrees, soups,
sandwiches, salads and desserts for the Maplewood Community Center Snack Bar on
a daily basis at wholesale prices effective January 1, 1998. The prices will be agreed
upon between the City and SCI;
(c) SCI agrees to meet with Maplewood Community Center personnel and prospective
clients to set menus and fees for the client's particular event.
(d) SCI agreed to provide adequate staffing to the demand of the particular event at
each and every food function.
(e) SCI agrees to meet all health regulations, city ordinances, state law, federal law
and any other regulations, rules or requirements concerning food and beverage service;
(d) SCI will provide one event every year at no costs, for marketing to the general
public and to Maplewood Community Center members.
(e) SCI agrees to perform the food and beverage services for the City under the terms
and conditions set forth in this Agreement.
(f) SCI agrees to provide ten events and /or meetings at cost for City related functions
to be approved by City Manager. It is understood that the City will not receive
commission for these events.
In consideration of the mutual promises set forth herein, it is agreed by and between the City
and SCI as follows:
1. Section 1 - Nature of Work. SCI shall perform food and beverage services at the
Maplewood Community Center as follows:
(a) SCI shall provide a selection of menus and prices for events held at the
Maplewood Community Center that require food and beverage. The prices and menus
shall be agreed upon by the City;
(b) SCI agrees to provide a selection of foods, including hot or cold entrees, soups,
sandwiches, salads and desserts for the Maplewood Community Center Snack Bar on
a daily basis at wholesale prices. The selection of foods, including hot or cold entrees,
soups, sandwiches, salads and desserts shall be agreed upon by the City and the prices
shall agreed upon by the City;
(c) SCI agrees to meet with Maplewood Community Center personnel and prospective
clients to set menus and fees for particular events.
(d) SCI agrees to provide adequate staffing to meet the demand of the client at each
and every food function;
(e) SCI agrees to meet all local, state, federal health regulations, codes, rules, and
laws concerning food and beverage service;
(t) SCI will provide one event every year at no cost, for marketing to the general
public and to Maplewood Community Center members;
(g) SCI shall provide the City an operating plan, the purpose of which is to specify
the undertaking of this Agreement. The operating plan shall become effective upon
approval of the City.
(h) SCI and City agree that food and beverages minimums for December, May, June,
Fridays and Saturdays, will be $4,500.00 per event. The remaining Fridays and
Saturdays will be $3,500.00 per event and all day Sundays through Thursdays will be
$1,000.00 per event.

2. Section 2. Place of Services:
It is understood that SCI services will be rendered at the Maplewood'. Community Center,
County of Ramsey, State of Minnesota.
3. Section 3. Exclusivity:
The City agrees to restrict the catering concession to SCI exclusively for the events held at
the Maplewood Community Center, that are booked after June 1, 1997, and total exclusivity
beginning January, 1998.
FACILITIES

The City agrees to provide the following facilities:
1. Kitchen facilities as they exist at the Maplewood Community Center;
2. Designated area for storage in the kitchen facility;
3. Designated storage on the lower level as determined by the City;
4. Desk, p hone, file drawer and access to fax and copier.
For events scheduled after January 1, 1998, the City shall provide access to SCI for the
following:
1. Two portable bars with cash registers;
2. Banquet rooms;
3. Tables and chairs;
4. Maintenance and support and determined by the City.
PAYMENT
The City shall be paid by SCI for all food events pursuant to this Agreement. The payments
are as follows:

1. 10% of the dollar amount per plate as a result of the event;
2. 25 % of all liquor sales resulting from each event; City agrees to pay 50 % of the cost
of the 1997 liquor license fee. Beginning January 1, 1998, SCI will pay 100% of the
liquor license fee after the first $6,000.00 of liquor revenue is receipted;
3. 3% of all additions (with the exception of white linens and china).
Said payments will be made by SCI monthly along with verified documentation to the City
from SCI on or before the 15th day of the following month. SCI agrees to provide appropriate
records to the satisfaction of the City for review with each monthly payment.
STATUS OF SCI
This Agreement calls for the performance of a food and beverage contract by SCI as an
independent contractor and SCI, its employees, agents or representatives will not be considered
employees of the City for any purposes.
INTEREST OF SCI
SCI covenants that SCI has no interest and shall not acquire any interest, direct or indirect,
financial or otherwise, that would conflict in any manner or degree with the performance of services
herein.
NON- ASSIGNABILITY
SCI recognizes that this Agreement for food and beverage cannot be transferred, assigned or
sublet by SCI.
IDENTIFICATION OF PERSONNEL
SCI shall provide appropriate identification of its agents, employees and representatives during
the performance of this Agreement at the Maplewood Community Center. SCI acknowledges and

recognizes that it is a fair and equal opportunity employer and that its employees, representatives and
agents have had training in sexual harassment, gender sensitivity and cultural diversity .
WORKERS' COMPENSATION
By executing this Agreement, SCI certifies that they have reviewed the provisions of the
Minnesota Statues with respect to workers' compensation, and SCI restates that it is an independent
contractor and certifies .that SCI will comply with the provisions of the Workers' Compensation
Statute as an independent contractor before commencing the performance of work in this Agreement.
INDEMNITY
SCI shall indemnify City against any and all losses, liabilities, damages, costs and expenses,
(including costs of defense, settlement and reasonable attorney's fees (by reason of liability imposed
by law upon City) for damages as a result of bodily injury, including death, at anytime resulting
therefrom sustained by any person or persons or on account of damaged property, including lessor,
arising out of or as a consequence of performance of the services pursuant to this Agreement and
caused by the negligent acts or omissions of SCI.
INSURANCE
SCI agrees to provide the City with a copy of its Certificate of Insurance for both catering and
liquor and all appropriate licenses. The amounts of insurance shall be no less than the statutory
amounts required by Cities.
GOALS, PRINCIPALS AND POLICIES
In connection with the exercise of this Agreement, SCI shall act in a manner consistent with
the City's basic goals, principals and policies.

GOOD FAITH
In the event that any agreement, approval, consent or other action or decision is permitted or
is required hereunder, the parties shall act in good faith and in a reasonable manner in connection
therewith.
IMPLEMENTATION OF AGREEMENT
SCI will designate personnel whose responsibilities shall be working with the City, in
coordinating and implementing this Agreement.
PROBLEM RESOLUTION
The parties agree that any disagreement, dispute or claim that arises regarding the exercise
of this Agreement shall be resolved as follows:
1. Any party may notify the other party, in writing, of the existence of a disagreement,
dispute or claim., stating the nature of such disagreement, dispute or claim, with specificity;
2. On the date of receipt of such notice, the City and SCI shall each advise the other of
the identity of the representative who will be available to meet as soon as reasonably possible (not
later than 9:00 a.m of the next business day) for the sole purpose of selecting a mutually acceptable
third person to participate in the resolution of the disagreement, dispute or claim. The party initiating
the notice pursuant to this section, shall make arrangements for location for such meeting;
3. As soon as reasonably possible following the identification of such third party (not later
than the next business day), a meeting involving the representatives of both SCI and the City and the
third party, shall be held at the time and place designated by such parties, at such meeting the
identified disagreement, dispute or claim, shall be considered and decided by a simple majority vote.
In the event that (i) the parties are unable to agree upon a selected third party to participate
in the resolution process or (ii) either party refuses to accept the decision reference as above
captioned, the sole remedy hereunder shall be termination of this Agreement pursuant to the
termination selection.
TERM
The term of this Agreement shall be for one year commencing June 1, 1997 and shall be
renewed annually for a one year period.
If the City does not act and give notice before May 1 of each fiscal year, the contract shall
be automatically extended for another year commencing June 1 and from year to year thereafter,
under its existing terms, unless and until the City gives notice of a non- extension. The above-
captioned terms shall be valid unless this Agreement has been terminated by either party pursuant to
terms. In the event the City exercises their right to terminate the contract during the contract year,
SCI shall have a right to complete its service contracts, pursuant to the terms of this Agreement, for
one year from the date of termination.
TERMINATION OF AGREEMENT.
This Agreement may be terminated by either party for any reason with 60 days written
notice. In the event that SCI terminates this Agreement, SCI waives any interest, rights, or
collections for food and beverage events past the 60 day period.
COMPLETENESS OF ENTIRE AGREEMENT
This document contains all the terms and conditions of this Agreement, and any alterations
or variations of the terms of this Agreement shall be invalid unless made in writing and signed by the
parties. There are no other understandings, representations or agreements, written or oral, not

incorporated herein. If any part of this Agreement is declared null and void by law, the remaining
paragraphs of this Agreement shall be valid.
